Scope of duties

The Commercial Register is a public register vested with public credence, whose primary purpose is to ensure the legal certainty of trades by disclosing relationships of private law, especially the relationships of natural persons and legal entities regarding liability and representation in this scope.

The main duties are:

  • Executing of entries (amendments) and removals in the Commercial Register

  • Depositing of notification of formation and notification of amendment of foundations and deeds of trusts of trustships as well as other deeds

  • Executing of certifications and public authentications

  • Legal name or name clarifications

  • Giving cause for the legally required announcements as well as

  • Many different official affairs such as scrutiny with legal requirements (submitting annual accounts as example), relocations, preliminary procedures for examinations of supporting documents, etc.

The Commercial Register, including submission and supporting documents, is public. Anyone is entitled to inspect the entries and the supporting documents for a fee.

Inspection, extracts, copies or certificates of deposited files and documents as well as of submissions and supporting documents of foundations and trusts not entered in the Commercial Register may be requested only by the depositor and the person authorised to do so. Certain details of foundations (such as the name, the registered office, the foundation council, etc.) may be disclosed to third parties by way of official confirmation.

Extracts from the register of legal entities (so-called commercial register extracts) may be ordered for a fee. These extracts are issued only in certified form and are not sent by fax.
