Foundation

Public-benefit foundations and private-benefit foundations conducting business in a commercial manner on the basis of special law shall be entered in the Commercial Register and shall thereby acquire the legal personality (Article 552 § 14, para. 4 PGR).

Other private-benefit foundations may be entered in the Commercial Register. But there is no legal obligation for that (Art. 552 § 14 para 5 PGR).

If the foundation is not subject to a duty to be entered, every member of the foundation council is required to deposit, within 30 days following formation, notification of formation at the Office of Justice. The representative shall likewise have the power to make the deposit. The accuracy of the information referred to the notification of formation shall be certified in writing by a lawyer, professional trustee, or holder of an entitlement under Article 180a authorized in Liechtenstein (Art. 552 § 20, para. 1 PGR).

For the purpose of monitoring the duty to be entered and of preventing foundations with an unlawful or immoral purpose as well as of preventing the circumvention of supervision that might be required it is compulsory to deposit the formation of notification.

The Office of Justice does not draw up deeds or contracts, except drawing up the public deeds required by law and providing assistance with the submission.
